Who represents your company in Samoa?
Samoa's international companies are governed by the International Companies Act 1988 and supervised by the Samoa International Finance Authority (SIFA). Two roles matter. A SIFA-licensed trustee company files your incorporation with the Registrar and its office is your company's registered office. Separately, your directors appoint a resident secretary or resident agent — in practice the trustee company itself, one of its officers, or a wholly owned subsidiary of it.
- 1
Samoa does not require a generic "registered agent". It requires a SIFA-licensed trustee company, through which your international company is incorporated and whose office serves as your registered office.
- 2
Your directors must appoint a resident secretary or resident agent. This is a separate appointment from the trustee company, even though the trustee company usually fills it.
- 3
The trustee company keeps your company's records current and accessible for review by your directors, members, and the Samoan authorities, and files amendments to your company's documents and structure with the Registrar.
Why you need a trustee company and resident agent
Find out the benefits and reasons behind these appointments for your Samoan international company (IC)
Required by the Act
An international company must be incorporated through a SIFA-licensed trustee company, and its directors must appoint a resident secretary or resident agent. Both must be maintained continuously for the life of the company. Nothing here works around those two appointments — we simply provide them.
Annual Compliance
The US$300 government renewal fee falls due on 30 November each year after incorporation. Samoa does not require an annual return — that provision was repealed in 1991 — but the fee, the trustee company, and the resident agent all have to stay current. We track them for you.
Regulatory Changes
SIFA's rules and fee schedule change from time to time, as do the international standards Samoa responds to. Your trustee company tracks those changes and tells you what they mean for your company, rather than leaving you to find out at renewal.
Act as a Middleman
Your trustee company is the bridge between you and the Registrar of International Companies. Official communication runs through it, so filings arrive in the right form and nothing is missed because it was sent to an address nobody attends.
Valuable Expertise
Take advantage of the trustee company's experience in areas such as bank account opening, structural alterations, and ease of compliance. It acts as your guide through a jurisdiction most owners never visit.
Ongoing Management
Whether you are changing your company name, share structure, or directors, the trustee company prepares the paperwork and handles the change with the Samoan authorities on time.
Document Registers
An international company is not obliged to keep a register of directors and secretaries, but accounting records and underlying documents must explain every transaction and be kept for 7 years. Where they are held away from the registered office, a statement of the company's financial position is filed there each year.
Peace of Mind
You can focus on building your business while the trustee company handles the filings and the renewal calendar. You will not feel lost during your international company journey.

Resident Secretary or Agent
Acting as the resident secretary or resident agent appointed by your directors — or nominating one of the trustee company's officers or a wholly owned subsidiary to hold the role.
Incorporation and Filings
Filing your incorporation with the Registrar of International Companies and, afterwards, filing amendments to your company's constitutional documents and corporate structure.
Service of Process
Receiving legal documents, such as court summons, lawsuits, and government notices, on behalf of the company is taken care of without your presence.

We forward received documents to your company's directors or officers along with a suggested course of action to ensure timely response and action.
Maintaining Records
Holding the records the Act requires at the registered office, including the name and address of anyone keeping the accounting records elsewhere and the annual statement of the company's financial position.
Communication
Serving as the primary point of contact between the company and the Samoan authorities, and other stakeholders, by acting as a bridge.
Due Diligence
Conducting due diligence on the company and its owners, including verifying the identity of beneficial owners and meeting Samoa's anti-money laundering (AML) obligations.
Annual Renewal
Paying the US$300 government renewal fee to the Registrar by 30 November each year — or arranging long-term registration for 5, 10, or 20 years instead — so your company stays in good standing.
