Situation 1: If the Holding entity is an Individual(s)

Part A: Proof of Identity

In the very first situation, if your BVI company is owned by an individual or group of individuals, then you will need to provide proof of identity documents as well as proof of address documents for all the directors and shareholders.

Under proof of identity, a scanned copy of the certified true copy of the passport is required. A certified true copy is a copy of a document that is stamped and signed as a true copy of the original by a person, such as a notary public, lawyer, or commissioner, who is allowed to make declarations. Situation 2: If the Holding entity is an Organization(s)

If the holding entity of BVI company is an organisation, holding company's documents such as certificate of incorporation, memorandum of association, articles of association, register of directors, register of shareholders or UBOs, extract of company's details from the registrar is required for your BVI company incorporation.

You will need to provide the following documents for the holding company: a certificate of incorporation, a memorandum and articles of association or constitution, a register of directors, a register of shareholders or ultimate beneficial owners, and an extract of the company’s details from the Registrar of Companies, which can include any of the details relating to your holding company, such as a business profile, a certificate of incorporation, or a certificate of good standing. If any of these documents have validity, then they have to be valid for 6 months.

Part B: Members’ Documents

If the holding entity of BVI company is an organisation, proof of identity and proof of address documents of all directors, shareholders, UBOs, contact persons are required for company formation.
