05 Questions
There is no need to have local directors or shareholders to form your offshore company in Anguilla. A company must have at least one director, but it can be yourself, irrespective of your country of citizenship, origin, or residence. This means you can establish an Anguilla company with directors and shareholders who are not residents of Anguilla. The minimum number of directors and shareholders needs to be at least one, and they can be the same person. You can also use Vepapu’s Nominee Director and/or Nominee Shareholder services to keep your identity out of your company formation documents.
Anguilla keeps company ownership and management details off the public record. A company must keep its register of directors and register of members at its registered agent’s office and file copies with the Registrar, and it must file beneficial ownership details to the Commercial Registry Electronic System within 14 days of incorporation. None of this is open to public inspection — a public company search shows the company name, type, status, and registered agent, not the people behind it. The information is available to the Registrar, the Financial Services Commission, and other competent authorities, and Anguilla is currently consulting on a framework that would give access to persons who can evidence a legitimate interest.
A registered address in Anguilla is required to form a company. It is a legal requirement, and without it we cannot proceed to file the documents with the registrar for your company’s incorporation. Vepapu already covers this service for you, so you do not need to have a physical office in Anguilla to incorporate.
An Anguilla Business Company files an annual return with the Registrar through the CRES portal and pays the annual government fee, due in the quarter containing the anniversary of incorporation. As part of that return, the company declares whether it carries on a relevant activity — if it does, a separate economic substance return is also required. Beneficial ownership details must be kept current, and accounting records sufficient to explain the company’s transactions must be kept for at least six years. There is no requirement to file financial statements, have accounts audited, or file a corporate tax return. You must also maintain a registered agent and registered address in Anguilla to receive communications from the authorities.
Anguilla does not impose direct taxes: there is no corporate income tax, personal income tax, capital gains tax, or inheritance tax on residents or non-residents. It does raise revenue through indirect taxes and levies that apply to business carried on in Anguilla itself — a goods and services tax, import duties, stamp duty, property tax, and payroll-based social levies. A Business Company operating outside Anguilla generally falls outside these. Anguilla’s tax position does not affect what you may owe in your own country of tax residence, so we recommend confirming your position with a tax adviser there.
